About Governance for Owners

Governance for Owners (GO) is an independent partnership between major financial institutions, shareowners and executives dedicated to adding long-term value for clients by exercising owners’ rights.

Governance for Owners’ structure
Governance for Owners Group LLP is a limited liability partnership incorporated in the UK under the Limited Liability Partnership Act 2000.

It operates in Europe through its wholly owned subsidiary Governance for Owners LLP, which is incorporated in the UK as a limited liability partnership under the Limited Liability Partnership Act 2000 and is also authorised and regulated by the Financial Services Authority (registration number: 430278). Governance for Owners LLP is the general partner of the GO European Focus Fund.

The Group operates in America through a wholly owned subsidiary Governance for Owners USA Inc.

Governance for Owners Group LLP is structured such that no individual, executive or outside investor in GO may own more than 20% of the organisation. In this way, independence is assured. Current investors are IPGL, the investment vehicle of ICAP Chief Executive Michael Spencer; Railpen; Robert Monks and affiliates; and the executive members of Governance for Owners Group LLP.

The board of Governance for Owners Group LLP has three components: executive directors, representatives of outside investors and non-executive. No single component represents a majority on the board. Currently, it is comprised of GO founders Peter Butler and Steve Brown, Bob Monks (Chairman), and investor appointee Ronnie Armist. Two non-executive directors and additional investor representatives, will be appointed in due course.

The board of Governance for Owners USA Inc is comprised of Bob Monks (Chairman), Bill Crist (Deputy Chairman), Peter Clapman (Chief Executive) and Peter Butler and Michelle Edkins.

An Advisory Board, whose current members are James E. Burton, Anne Simpson, and Eric Tracey, will provide the executives with:

  • an independent check on investment and valuation judgements
  • advice on proposed engagement programmes
  • industry-specific experience and perspectives
  • input and access to decision-making bodies in major European countries

The Advisory Board will meet quarterly and its members will have input into GO’s work on an ad hoc basis as determined by their specific expertise.
